1. Definitions

In these Terms & Conditions, the following definitions apply:


Company: MOJO Advertising B.V.

Client: Any natural person or legal entity entering into an agreement with the Company.

Services: Any advertising, marketing, consulting, media buying, branding, creative, digital, or related services offered by the Company.

Agreement: Any written or verbal agreement between the Company and the Client concerning the provision of Services.

Deliverables: Any materials, campaigns, reports, creative assets, digital content, or other outputs produced by the Company.


2. Applicability

2.1 These Terms & Conditions apply to all quotations, proposals, offers, agreements, and Services provided by the Company.

2.2 Any deviations from these Terms & Conditions shall only be valid if agreed upon in writing by the Company.

2.3 The applicability of any terms and conditions used by the Client is expressly excluded unless otherwise agreed in writing.


3. Quotations and Agreements

3.1 All quotations and proposals issued by the Company are non-binding unless explicitly stated otherwise.

3.2 Quotations remain valid for thirty (30) days unless stated otherwise.

3.3 An Agreement is formed when:

- The Client accepts a quotation or proposal in writing;

- The Company confirms acceptance in writing; or

- The Company commences work at the Client’s request.


4. Services

4.1 The Company shall perform Services with reasonable care and professional skill.

4.2 The Company may engage subcontractors or third parties where necessary.

4.3 The Company does not guarantee specific results unless expressly agreed in writing.

4.4 Timelines and delivery dates are estimates unless expressly agreed as binding.


5. Client Responsibilities

5.1 The Client shall provide all information, approvals, materials, and access reasonably required for the performance of Services.

5.2 The Client warrants that all provided content, data, and materials do not infringe third-party rights.

5.3 Delays caused by the Client may result in revised timelines and additional costs.


6. Fees and Payment

6.1 Fees are stated in quotations, proposals, or Agreements.

6.2 Unless otherwise agreed, all invoices are payable within fourteen (14) days from the invoice date.

6.3 All amounts are exclusive of VAT and other applicable taxes unless otherwise specified.

6.4 In case of late payment, the Company may:

- Charge statutory interest in accordance with Dutch law;

- Suspend Services until payment is received;

- Recover reasonable collection costs.

6.5 The Client may not withhold or offset payment unless required by law.


7. Changes and Additional Work

7.1 Requests for changes to the scope of Services may result in additional fees and adjusted timelines.

7.2 Additional work not included in the original Agreement shall be billed separately.


8. Intellectual Property

8.1 All intellectual property rights relating to concepts, designs, campaigns, strategies, software, content, and Deliverables created by the Company remain vested in the Company unless otherwise agreed in writing.

8.2 Upon full payment, the Client receives a non-exclusive, non-transferable license to use Deliverables for the agreed purpose.

8.3 The Company may display completed work for portfolio and promotional purposes unless otherwise agreed.

8.4 The Client guarantees that all supplied materials may lawfully be used by the Company.


9. Confidentiality

9.1 Both parties agree to keep confidential all non-public information received in connection with the Agreement.

9.2 Confidentiality obligations survive termination of the Agreement.


10. Liability

10.1 The Company’s liability is limited to direct damages only.

10.2 The Company shall not be liable for:

 - Indirect or consequential damages;

 - Loss of profit, revenue, data, or business opportunities;

 - Third-party claims arising from Client-provided materials.

10.3 The Company’s total liability shall not exceed the amount paid by the Client for the Services giving rise to the claim during the preceding six (6) months.

10.4 Any claim must be submitted in writing within thirty (30) days after discovery of the alleged issue.


11. Force Majeure

11.1 The Company shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including but not limited to:

- Natural disasters;

- Internet outages;

 - Government actions;

 - Labor disputes;

 - Supplier failures.

11.2 During force majeure events, obligations may be suspended.


12. Term and Termination

12.1 Agreements continue for the agreed duration or until completion of Services.

12.2 Either party may terminate an Agreement in writing with reasonable notice unless otherwise agreed.

12.3 The Company may suspend or terminate Services immediately if:

 - The Client breaches these Terms & Conditions;

 - Payment remains overdue;

- Insolvency or bankruptcy proceedings affect the Client.

12.4 Upon termination, all outstanding fees become immediately due.


13. Data Protection

13.1 Both parties shall comply with applicable data protection laws, including the General Data Protection Regulation (GDPR).

13.2 Where required, the parties may enter into a separate data processing agreement.


14. Non-Solicitation

14.1 During the Agreement and for twelve (12) months thereafter, the Client shall not directly hire or solicit employees or contractors of the Company without prior written consent.


15. Governing Law and Jurisdiction

15.1 These Terms & Conditions are governed by the laws of The Netherlands.

15.2 Any disputes shall be submitted to the competent court in the Netherlands.


16. Miscellaneous

16.1 If any provision of these Terms & Conditions is held invalid or unenforceable, the remaining provisions remain in full force.

16.2 Failure to enforce any provision does not constitute a waiver.

16.3 The Company may update these Terms & Conditions from time to time.
